Carrier Selection & Monitoring Policy

1. Our approach

NexDivision Group believes that selecting a motor carrier involves more than comparing equipment availability and price. Our approach is designed around individually evaluating third-party transportation partners using relevant regulatory, insurance, safety, identity, operational, and shipment-specific information. We seek to engage carriers whose qualifications align with the freight and service being arranged.

2. Carrier qualification factors

Depending on the shipment and information available, our carrier selection process may consider:

• Identity and authority: the carrier's legal identity, USDOT and MC information, applicable FMCSA operating authority, and relevant restrictions or out-of-service orders.
• Insurance: evidence of applicable coverage, policy status and effective dates, and whether proposed coverage is appropriate for the equipment and shipment.
• Safety and compliance: publicly available FMCSA safety information, inspection and out-of-service history, reportable crash information, and relevant compliance patterns, considered with their context and limitations.
• Operational suitability: equipment type, cargo-handling capability, experience relevant to the shipment, service requirements, and communication practices.
• Identity and fraud prevention: consistency of company and contact information, warning signs of impersonation, suspected unauthorized rebrokering, or other irregularities.
• Service history: prior performance, responsiveness, documentation, and other relevant business experience, when available.

FMCSA Safety Measurement System (SMS) data is one source of information, not a substitute for an official federal safety rating or an independent guarantee of safety. We consider available information in context rather than treating a single measure as conclusive.

3. Review and monitoring

Our framework contemplates review during onboarding, before freight is tendered when appropriate, and when material new information becomes available. Depending on the circumstances, we may revisit authority, insurance, safety indicators, service concerns, identity information, or other qualification factors and may request updated documentation.

NexDivision Group may place a carrier under additional review, decline to tender a shipment, or discontinue use of a carrier when the available information raises concerns or does not meet the requirements of the shipment or our carrier standards.

4. Carrier responsibility

Carrier screening is intended to help inform brokerage decisions and reduce identifiable risks; it cannot eliminate every risk or guarantee a particular transportation outcome. Each contracted motor carrier remains responsible for its own vehicles, drivers, qualifications, safe transportation practices, and compliance with applicable laws and contractual obligations. The scope and timing of individual checks may vary based on the carrier, shipment, available information, and applicable requirements.

6. Policy scope and updates

This page summarizes our intended carrier selection and monitoring standards. It is not a certification of any particular motor carrier, a guarantee of future performance, or a replacement for any applicable broker-carrier agreement, rate confirmation, or legal requirement. We may revise these standards as our operations, risk controls, and applicable requirements evolve.
